GRANATELLI MOTOR SPORTS, INC.

WAREHOUSE DISTRIBUTOR PROGRAM POLICY

Effective Date: August 6, 2026

Granatelli Motor Sports, Inc. (“Granatelli,” “GMS,” or the “Company”) offers its Warehouse Distributor Program to qualified automotive businesses that are legally authorized to conduct business in their applicable jurisdictions.

Participation in the program is subject to approval by Granatelli Motor Sports and compliance with the terms contained in this policy, the current Granatelli Motor Sports Minimum Advertised Price Policy, and any other applicable written dealer policies.

Granatelli Motor Sports reserves the right to approve, deny, suspend, modify, or terminate Warehouse Distributor status at its discretion.

1. ELIGIBILITY AND APPLICATION

Applicants must:

  1. Operate a legitimate automotive, performance, racing, wholesale, retail, installation, or related business.

  2. Submit a completed Granatelli Motor Sports Warehouse Distributor Application.

  3. Provide a valid business license, resale certificate, seller’s permit, tax-exemption certificate, or other applicable documentation.

  4. Provide accurate ownership, billing, shipping, telephone, email, and business-location information.

  5. Maintain an active account in good standing.

  6. Comply with Granatelli Motor Sports’ branding, advertising, intellectual-property, warranty, and MAP policies.

Granatelli Motor Sports may request updated business or tax documentation at any time.

2. NO BUY-IN REQUIREMENT

There is no initial buy-in, opening-order requirement, enrollment fee, or minimum first purchase required to become an approved Granatelli Motor Sports Warehouse Distributor.

There is no minimum dollar amount required for an individual purchase order unless otherwise stated in a written promotion, freight program, special-order quotation, or product-specific program.

Distributor status may be periodically reviewed based on account activity, payment history, customer service, brand representation, policy compliance, and overall business relationship.

Granatelli Motor Sports may reclassify an inactive account or adjust its pricing level after reasonable notice.

3. PRICING

Approved Warehouse Distributors may purchase eligible Granatelli Motor Sports products at the current published Warehouse Distributor price.

All prices are subject to change without notice. The price in effect when Granatelli accepts the order will control unless otherwise stated in a written quotation.

Quotes are valid for the period shown on the quotation. If no expiration date is shown, quotes are valid for 30 days.

Pricing errors, typographical errors, system errors, or unauthorized discounts may be corrected before shipment. Granatelli Motor Sports may cancel or revise an affected order and notify the Distributor of the corrected price.

Special pricing, promotional discounts, closeout pricing, freight programs, rebates, and other incentives may have separate terms and may not be combined unless authorized in writing.

4. ORDERS

Orders are subject to product availability, account approval, payment authorization, and acceptance by Granatelli Motor Sports.

Purchase orders should include:

  • Distributor account name and number

  • Billing and shipping information

  • Granatelli part numbers

  • Product descriptions when available

  • Quantities

  • Requested shipping method

  • Purchase-order number

  • Drop-ship designation when applicable

  • Customer contact information when required for delivery

Granatelli Motor Sports is not responsible for delays or errors caused by incomplete, inaccurate, or conflicting order information.

Order additions, cancellations, or changes are not guaranteed after an order has entered processing.

Special-order, custom-built, made-to-order, discontinued, closeout, or modified products may not be cancelled or returned after production or processing begins.

5. PAYMENT TERMS

Unless Granatelli Motor Sports approves written credit terms, all orders must be paid in full before shipment.

Acceptable payment methods are determined by Granatelli Motor Sports and may include approved credit cards, ACH payments, bank transfers, or wire transfers.

A valid payment method may be required to remain on file.

Distributors may not deduct anticipated credits, returns, rebates, freight claims, warranty claims, promotional allowances, or other amounts from an invoice without written authorization from Granatelli Motor Sports.

Past-due balances may result in:

  • Orders being placed on hold

  • Suspension of purchasing privileges

  • Revocation of credit terms

  • Reclassification or termination of Distributor status

  • Collection activity

  • Responsibility for legally recoverable collection costs and fees

Returned payments, chargebacks, payment disputes, or declined transactions may be subject to applicable processing fees.

6. TAXES

The Distributor is responsible for providing valid resale or tax-exemption documentation.

If valid documentation is not provided, Granatelli Motor Sports may charge applicable sales, use, or similar taxes.

The Distributor is responsible for notifying Granatelli Motor Sports of any change to its tax status or certificate information.

The Distributor remains responsible for taxes, duties, tariffs, brokerage charges, customs fees, import fees, and other governmental charges associated with its purchases or resale activities unless otherwise required by law.

7. SHIPPING AND FREIGHT

Unless otherwise stated in writing, all shipments are F.O.B. Granatelli Motor Sports’ shipping location in Oxnard, California.

Title and risk of loss transfer in accordance with the applicable shipping terms and governing law when the shipment is properly delivered to the carrier.

Shipping, handling, insurance, residential delivery, liftgate, oversized-package, hazardous-material, signature, expedited-service, international, customs, and other carrier-related charges are the Distributor’s responsibility unless otherwise stated in writing.

Granatelli Motor Sports determines the carrier, shipping method, routing, and shipment schedule for orders qualifying for prepaid or allowed freight.

Requests for expedited service, preferred carriers, special routing, residential delivery, or other nonstandard service may cause otherwise allowed freight charges to become the Distributor’s responsibility.

Freight allowances, when offered, apply only under the terms of the current Granatelli freight program and may exclude:

  • Alaska

  • Hawaii

  • United States territories

  • International destinations

  • Oversized products

  • Truck-freight shipments

  • Hazardous materials

  • Expedited delivery

  • Residential or limited-access delivery

  • Special-order products

  • Drop shipments

Granatelli Motor Sports may revise or discontinue freight programs at any time.

8. DROP SHIPMENTS

Approved Warehouse Distributors may request shipment directly to their customers, subject to Granatelli Motor Sports’ approval.

Each drop-ship order will be assessed a $15.00 drop-ship processing fee, in addition to applicable shipping, handling, insurance, residential-delivery, signature, and carrier charges.

The fee may be waived when:

  1. The drop shipment is required to correct a confirmed Granatelli Motor Sports shipping or order-processing error; or

  2. Granatelli Motor Sports determines that direct shipment serves the best interests of the customer or Distributor.

Drop-ship orders must include complete and accurate recipient information.

The Distributor is responsible for:

  • Confirming the customer’s address

  • Confirming product selection and vehicle fitment

  • Obtaining the customer’s permission to provide delivery information

  • Collecting payment from the customer

  • Handling customer communications

  • Complying with applicable tax and consumer-protection requirements

  • Ensuring advertised and charged prices comply with applicable policies

Granatelli Motor Sports may decline a drop shipment based on fraud concerns, address-verification issues, product restrictions, export controls, payment risk, inventory limitations, or other operational considerations.

Granatelli Motor Sports will not include Distributor pricing in the customer’s shipment when the order is properly identified as a drop shipment.

9. SHIPPING INSPECTION AND CLAIMS

The Distributor or recipient must inspect all shipments promptly upon delivery.

Visible freight damage should be noted on the carrier’s delivery receipt before accepting the shipment whenever reasonably possible.

The Distributor must report:

  • Shortages

  • Incorrect products

  • Shipping errors

  • Visible damage

  • Missing cartons

  • Package discrepancies

within five business days after delivery.

Reports should include:

  • Invoice or order number

  • Part number

  • Quantity affected

  • Description of the problem

  • Photographs of the product

  • Photographs of the packaging

  • Photographs of the shipping label

  • Carrier documentation when applicable

The Distributor must retain all packaging and damaged products until Granatelli Motor Sports or the carrier provides instructions.

Failure to report a discrepancy or retain supporting evidence may affect the ability to process a claim.

Refused shipments are not permitted without prior written authorization. Unauthorized refused shipments may result in freight charges, return freight, storage charges, handling fees, restocking fees, and future prepayment requirements being charged to the Distributor.

10. RETURNS AND RETURN AUTHORIZATION

No product may be returned without a valid Return Goods Authorization (“RGA”) number issued by Granatelli Motor Sports.

Issuance of an RGA number does not guarantee that a return, warranty claim, or credit will be approved.

Unless otherwise authorized in writing:

  1. Return requests must be submitted within 30 days after delivery.

  2. Products must be new, unused, uninstalled, unmodified, complete, and in resalable condition.

  3. Products must include the original packaging, instructions, hardware, accessories, labels, and documentation.

  4. The returned product must match the product and quantity authorized under the RGA.

  5. The RGA number must be clearly marked on the outside of the shipping carton.

  6. Returns must be shipped prepaid and insured.

  7. C.O.D. returns will not be accepted.

  8. Unauthorized products included with an approved return may be returned at the Distributor’s expense.

Approved non-defective returns are subject to a 25% restocking fee unless waived by Granatelli Motor Sports in writing.

Original shipping charges, drop-ship fees, handling charges, payment-processing fees, and return shipping expenses are nonrefundable unless the return results from a confirmed Granatelli Motor Sports error.

The following products are generally nonreturnable:

  • Installed or used products

  • Products showing attempted installation

  • Damaged or incomplete products

  • Custom-built or made-to-order products

  • Modified products

  • Special-order products

  • Discontinued or closeout products

  • Electrical products that have been installed or connected

  • Products returned without original packaging

  • Products damaged because of improper packaging

  • Products purchased from an unauthorized source

  • Products returned after the authorized return period

Credits are issued only after the returned product has been received, inspected, and approved.

11. WARRANTY CLAIMS

Warranty claims are governed by the written Granatelli Motor Sports warranty applicable to the product.

A Distributor must obtain an RGA number before returning a product for warranty inspection.

Warranty claims may require:

  • Proof of purchase

  • Product serial or lot information

  • Vehicle information

  • Installation records

  • Photographs or video

  • Diagnostic information

  • Description of the failure

  • Confirmation that installation instructions were followed

Products returned for warranty evaluation must be shipped prepaid unless Granatelli Motor Sports provides a prepaid label or other written authorization.

Granatelli Motor Sports may, at its discretion and subject to the applicable warranty:

  • Repair the product

  • Replace the product

  • Issue account credit

  • Reject the claim

  • Return the inspected product

Labor, diagnostics, towing, vehicle downtime, rental vehicles, lost profits, incidental damages, consequential damages, and removal or reinstallation costs are not covered unless expressly required by law or stated in the written product warranty.

12. STOCK ADJUSTMENTS

Warehouse Distributors may request one stock adjustment during a 12-month period.

Stock adjustments:

  1. Require advance written approval.

  2. Must be accompanied by a qualifying offsetting order when required by Granatelli Motor Sports.

  3. May not exceed 5% of the Distributor’s net purchases during the preceding 12 months.

  4. Are limited to current, active, regularly stocked products.

  5. Must contain products that are new, unused, complete, and in original resalable packaging.

  6. May be reduced by returns, credits, prior stock adjustments, discontinued products, or unpaid balances.

  7. Are subject to inspection and final approval.

Obsolete, discontinued, closeout, custom, special-order, installed, damaged, incomplete, shopworn, stickered, relabeled, price-marked, or non-current products are not eligible.

Granatelli Motor Sports may require a two-for-one offsetting order based on the value of approved returned merchandise.

13. ADVERTISING AND BRAND STANDARDS

Distributors must represent Granatelli Motor Sports and its products accurately and professionally.

Distributors may use authorized Granatelli Motor Sports trademarks, logos, product images, descriptions, videos, and other marketing materials only for the purpose of promoting genuine Granatelli Motor Sports products.

Distributors may not:

  • Alter Granatelli trademarks or logos without authorization

  • Create misleading product claims

  • Misrepresent vehicle fitment or product performance

  • Advertise counterfeit, used, modified, or non-GMS products as new Granatelli products

  • Use Granatelli intellectual property in a company name, domain name, marketplace account, social-media handle, or paid-search advertisement without authorization

  • Imply that the Distributor is owned, operated, endorsed, or controlled by Granatelli Motor Sports

  • Copy or distribute confidential price sheets or dealer information

  • Use outdated images or descriptions after receiving updated materials

  • Make unsubstantiated horsepower, emissions, safety, warranty, or performance claims

Upon request, the Distributor must remove or correct inaccurate, unauthorized, outdated, or misleading content.

Granatelli Motor Sports may revoke permission to use its intellectual property at any time.

14. MINIMUM ADVERTISED PRICE POLICY

Warehouse Distributors must comply with the current Granatelli Motor Sports Minimum Advertised Price (“MAP”) Policy.

The MAP Policy is a separate, unilateral policy and does not establish the price at which a Distributor must actually sell a product.

Each Distributor remains independently responsible for setting its own resale prices.

Granatelli Motor Sports does not request, seek, or accept agreements from Distributors concerning resale prices.

Questions, complaints, or requests for exceptions concerning MAP must be directed only to the Granatelli Motor Sports representative designated in the MAP Policy.

15. COOPERATIVE ADVERTISING

Granatelli Motor Sports may, at its discretion, offer cooperative advertising assistance based on factors including:

  • Sales volume

  • Account standing

  • Advertising quality

  • Brand presentation

  • Product placement

  • Campaign reach

  • Frequency of Granatelli advertising

  • Compliance with Granatelli policies

All cooperative advertising must receive written approval before publication or distribution.

Reimbursement requests must include invoices, proof of payment, copies or screenshots of the advertisement, campaign dates, performance documentation when requested, and any other required materials.

Cooperative advertising funds may not be used for unauthorized discounts, misleading advertising, competitor products, trademark bidding, or advertisements that violate the Granatelli MAP Policy.

Granatelli Motor Sports may modify, deny, suspend, or revoke cooperative advertising support at its discretion.

16. ONLINE AND MARKETPLACE SALES

Distributors must obtain written authorization before listing Granatelli Motor Sports products on third-party marketplaces when such authorization is required by Granatelli policy.

Authorization for one website, marketplace, seller account, or business entity does not automatically authorize another.

Distributors must maintain accurate:

  • Product titles

  • Part numbers

  • Descriptions

  • Images

  • Vehicle fitment information

  • Inventory status

  • Shipping times

  • Warranty information

  • Customer-service contact information

Distributors may not create duplicate listings intended to manipulate marketplace search results or use misleading keywords, vehicle names, trademarks, or product claims.

Distributors are responsible for customer service, returns, chargebacks, marketplace penalties, sales-tax collection, and compliance with marketplace rules.

Granatelli Motor Sports may require removal or correction of a listing that is inaccurate, unauthorized, misleading, outdated, or harmful to the brand.

17. PRODUCT INFORMATION AND FITMENT

Granatelli Motor Sports makes reasonable efforts to provide accurate product information and vehicle-fitment data. However, vehicle configurations, modifications, production changes, and aftermarket combinations may affect fitment.

The Distributor is responsible for confirming product suitability before sale or installation.

Distributors should not guarantee fitment solely from a year, make, and model when engine, transmission, trim, emissions configuration, forced-induction system, or vehicle modifications may affect compatibility.

Granatelli Motor Sports is not responsible for errors introduced when a Distributor, marketplace, data provider, catalog provider, reseller, or third party alters or republishes product information.

18. CONFIDENTIAL INFORMATION

Nonpublic price sheets, discounts, costs, dealer levels, inventory information, product-development information, customer information, account information, sales reports, and other proprietary materials are confidential.

The Distributor may use confidential information only for its authorized business relationship with Granatelli Motor Sports.

Confidential information may not be disclosed to competitors, customers, unauthorized third parties, public websites, online forums, social-media groups, marketplaces, or data aggregators without written authorization.

This obligation continues after suspension or termination of the account.

19. COMPLIANCE WITH LAW

Each Distributor is independently responsible for complying with all laws and regulations applicable to its business, advertising, sales, shipping, installation services, customer communications, taxes, privacy practices, and use of Granatelli products.

This may include laws and regulations concerning:

  • Consumer protection

  • Truthful advertising

  • Sales and use taxes

  • Data privacy

  • Telephone, text-message, and email marketing

  • Product safety

  • Vehicle emissions

  • Competition and antitrust

  • Export controls

  • Sanctions

  • Customs

  • Hazardous materials

  • Marketplace sales

  • Accessibility

  • Warranty disclosures

Products identified for racing, competition, off-road, or non-highway use must be advertised and sold with all applicable restrictions and disclosures.

The Distributor may not market a product as emissions-legal unless supported by current written documentation from Granatelli Motor Sports or the appropriate regulatory authority.

20. ACCOUNT REVIEW, SUSPENSION, AND TERMINATION

Granatelli Motor Sports may review Distributor accounts periodically.

Grounds for suspension, reclassification, or termination may include:

  • Nonpayment

  • Fraud or suspected fraud

  • Chargebacks

  • False application information

  • MAP violations

  • Unauthorized marketplace sales

  • Trademark misuse

  • Misleading advertising

  • Repeated customer complaints

  • Selling counterfeit or altered products

  • Improper warranty representations

  • Unauthorized disclosure of confidential information

  • Violation of law

  • Conduct harmful to Granatelli Motor Sports, its customers, or its brand

  • Extended account inactivity

  • Failure to maintain required business or tax documentation

Granatelli Motor Sports may take action immediately when necessary to protect customers, prevent fraud, comply with law, or protect its brand.

Termination of Distributor status does not eliminate payment obligations or other responsibilities arising before termination.

Upon termination, the Distributor must discontinue representing itself as an authorized Granatelli Motor Sports Warehouse Distributor and must cease unauthorized use of Granatelli trademarks, logos, images, confidential materials, and dealer pricing.

21. POLICY CHANGES

Granatelli Motor Sports may amend this policy at any time.

Updated policies may be distributed by email, dealer portal, website posting, price-sheet notice, invoice notice, or other reasonable business communication.

Continued ordering or participation in the Warehouse Distributor Program after the effective date of a revised policy constitutes acceptance of the revised operational terms to the extent permitted by law.

22. NO WAIVER

Failure by Granatelli Motor Sports to enforce any provision on one occasion does not waive its right to enforce that provision or any other provision in the future.

Exceptions are valid only when approved in writing by an authorized Granatelli Motor Sports representative.

23. SEVERABILITY

If any provision of this policy is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

24. GOVERNING TERMS

This Warehouse Distributor Program Policy should be read together with the current:

  • Granatelli Motor Sports Price Sheet

  • Minimum Advertised Price Policy

  • Product Warranty

  • Freight Policy

  • Credit or Payment Terms

  • Marketplace Policy

  • Intellectual-Property and Brand Guidelines

  • Written quotations and special-program terms

Where a product-specific quotation or written program contains different terms, the more specific written terms will apply to that transaction.
